These Terms and Conditions govern your use of services provided by ZenPivot Venture Studio Private Limited (“ZenPivot”, “we”, “our”, or “us”), including our products and offerings branded as OneBook (ERP, cloud hosting, implementation) and OneChat (WhatsApp-based messaging and automation), together with our website and related services. By accessing or using our services, you agree to be bound by these Terms.
ZenPivot offers OneBook ERP solutions, Azure cloud hosting, implementation, AI-powered automation, and OneChat (WhatsApp messaging product using Meta/WhatsApp Business Platform). All services are subject to these Terms and any service-specific agreements, order forms, or policies referenced herein.
OneBook strives to maintain high availability of our services but does not guarantee uninterrupted access. We reserve the right to suspend services for maintenance or upgrades with reasonable notice.
Any service level guarantees are provided in separate Service Level Agreements specific to each service offering.
Use of OneChat requires compliance with the WhatsApp Business Terms and all applicable Meta Business Tools Terms. You represent and warrant that you have obtained all necessary user consents and opt-ins to send messages, store contact information, and process message metadata. You must not use OneChat to send unsolicited messages, spam, or prohibited content under WhatsApp/Meta policies or applicable law.
You retain ownership of your end-customer data. By using OneChat, you grant ZenPivot a limited license to process contact details, message templates, delivery/read receipts, media attachments, and logs solely to provide, secure, troubleshoot, and improve the service. Content processing is restricted to what is necessary to operate OneChat and to comply with law and platform requirements.
You are responsible for honoring customer requests (opt-out/stop) and maintaining accurate records of consent.
OneChat integrates with the WhatsApp Business Platform provided by Meta. Your use is also subject to Meta/WhatsApp technical, security, and messaging rules. ZenPivot may suspend or terminate access if Meta/WhatsApp restricts the integration or if misuse is detected.
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account or any other security breach.
Our Privacy Policy governs the collection, use, and processing of your data. By using our services, you consent to our data practices as described in the Privacy Policy.
Pricing, billing cadence, and inclusions are specified in your order form or applicable plan pages. Unless otherwise stated, subscriptions renew automatically until cancelled. Taxes (including GST) are additional where applicable.
You authorize us or our payment processors to charge your selected payment method on the renewal date. Invoices are issued electronically.
Except where required by law or expressly provided, all fees are non-refundable. You may cancel at any time; service continues until the end of the current billing period.
Filing an unwarranted chargeback may result in suspension. Please contact support to resolve billing issues before initiating a chargeback.
For OneChat, carrier/Meta/WhatsApp pass-through fees (e.g. conversation charges, message templates) are billed as incurred.
Payments are processed by third-party gateways. We do not store full card details on our servers.
All content provided through our services — including software, designs, text, graphics, logos, and images — is owned by ZenPivot (including products branded as OneBook/OneChat) or our licensors and is protected by intellectual property laws.
You may not modify, reproduce, distribute, create derivative works, publicly display or perform any content from our services without our express written permission.
To the maximum extent permitted by applicable law, OneBook shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of our services.
Our total liability for any claims arising under these Terms shall not exceed the amount you paid to us for the services in the twelve-month period preceding the claim.
Either party may terminate the agreement by providing written notice according to the terms specific to each service. Upon termination, you must cease using our services, and we will cease providing access.
These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts at Chennai, Tamil Nadu, India.
We reserve the right to modify these Terms at any time. We will provide notice of significant changes by posting the new Terms on our website. Your continued use of our services after such modifications constitutes your acceptance of the revised Terms.
OneBook provides its services on an “as is” and “as available” basis. We make no representations or warranties of any kind, express or implied, regarding the operation of our services or the information, content, or materials included therein.
To the fullest extent permissible by applicable law, we disclaim all warranties, express or implied, including but not limited to implied warranties of merchantability and fitness for a particular purpose.
OneBook will not be liable for any damages of any kind arising from the use of our services, including but not limited to direct, indirect, incidental, punitive, and consequential damages.
